The Sabine Parish School Board of Sabine Parish, Louisiana, met in public session on July 19, 2010, at 6:30 P. M. at the regular meeting place of said Board with the following member present: Imon Jones, President, Denyse Williams, Vice President, Roderick Davis, James W. House, Jack Sanders, Donnie F. Sistrunk, Sr., Harold Stewart, J. A. “Buddy” Veuleman, and J. Randall Veuleman.

The meeting was called to order by the President and the Invocation was offered and the Pledge of Allegiance was rendered.
On motion by Roderick Davis and seconded by J. Randall Veuleman, it was carried by unanimous vote, to amend the agenda to add Item V. “Consider advising the administration to advertise for bids for a metal building to ne erected at Many High School.”

No bids were received for a portable building for Head Start to use as a Parent Center/Meeting Place.
On motion by Roderick Davis and seconded by Denyse Williams, it was carried to advise the administration to advertise for bids for a metal building to be erected at Many High School.
On motion by James W. House and seconded by Donnie F. Sistrunk, Sr., it was carried to accept the only bid received in the amount of $85,000.00 from Ross Bus Sales, for a 72 (minimum) passenger activity bus for Zwolle High School. Harold Stewart abstained.
On motion by Harold Stewart and seconded by J. A. “Buddy” Veuleman, it was carried to table the awarding of bid on a handicapped accessible bus until the next meeting. One bid was received from Ross Bus Sales in the amount of $40,000.00.
On motion by Harold Stewart and seconded by J. A. “Buddy” Veuleman, it was carried to table the awarding of bid on a regular route school bus until the next meeting. One bid was received from Ross Bus Sales in the amount of $40,000.00.

On motion by Denyse Williams and seconded by J. A. “Buddy” Veuleman, it was carried to approve a contract with Mr. George Rhymes for the 2010-2011 School Year to provide certification counseling to Sabine Parish teachers.

RESOLUTION
A resolution making application to the State Bond Commission for authority to sell not exceeding $1,000,000 of General Obligation School Bonds of Zwolle School District No. 61 of Sabine Parish, Louisiana, at private sale.
WHEREAS, the State Bond Commission on January 14, 2010, under approval L10-006 (the SBC Approval), authorized a special election to be held in Zwolle School District No. 61 of Sabine Parish, Louisiana (the District), to authorize the issuance of not exceeding $1,000,000 of general obligation bonds of the District, to run not exceeding 20 years and to bear interest at a rate not exceeding 8% per annum (the Bonds) and, in the event said election carried, further gave the consent and authority for the Bonds to be issued, sold and delivered; and
WHEREAS, on March 27, 2010, the voters of the District approved the proposition authorizing the issuance of the Bonds; and
WHEREAS, Senate Bill No. 778 of the Regular Session of the Louisiana Legislature for the year 2010 authorizes general obligation bonds to be issued at private sale; and
WHEREAS, this School Board now wishes that Approval L10-006 be amended to provide that the Bonds may be sold at private sale;
NOW, THEREFORE, BE IT RESOLVED by the Parish School Board of the Parish of Sabine, State of Louisiana, acting as the governing authority of Zwolle School District No. 61 of Sabine Parish, Louisiana, that:
SECTION 1. Application is hereby made to the State Bond Commission for an amendment to its Approval L10-006 of January 14, 2010, to further provide that the $1,000,000 of General Obligation School Bonds of Zwolle School District No. 61 of Sabine Parish, Louisiana, authorized to be issued pursuant to an election held on March 27, 2010, may be sold at private sale. If sold at private sale, the Bonds will be subject to all parameters set forth in the proposition, except the Bonds shall bear interest at a rate or rates not to exceed 5% per annum.
SECTION 2. By virtue of Issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, the Issuer resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the AState Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms Derivative Products Hedges, Etc., adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby.

RESOLUTION
A resolution authorizing the advertising for sealed bids for the purchase of One Million Dollars ($1,000,000) of General Obligation School Bonds, Series 2010, of Zwolle School District No. 61 of Sabine Parish, Louisiana, and providing for other matters in connection therewith.
WHEREAS, this Parish School Board wishes to sell $1,000,000 of General Obligation School Bonds, Series 2010, of Zwolle School District No. 61 of Sabine Parish, Louisiana; and
WHEREAS, this Parish School Board wants to be able to go forward with either a public bond sale pursuant to sealed bids or a private bond sale; and
NOW, THEREFORE, BE IT RESOLVED by the Parish School Board of the Parish of Sabine, State of Louisiana, acting as the governing authority of Zwolle School District No. 61 of Sabine Parish, Louisiana, that:
SECTION 1) The Issuer is hereby empowered, authorized and directed to advertise in accordance with the provisions of law for sealed paper or electronic bids via PARITY7 for the purchase of One Million Dollars ($1,000,000) of General Obligation School Bonds, Series 2010 (the Bonds), of Zwolle School District No. 61 of Sabine Parish, Louisiana (the Assuer), the Bonds being authorized at a special election held in the Issuer on March 27, 2010, for the purpose of acquiring and/or improving lands for building sites and playgrounds, including construction of necessary sidewalks and streets adjacent thereto; purchasing, erecting and/or improving school buildings and other school related facilities within and for the Issuer and acquiring the necessary equipment and furnishings therefor, under the authority conferred by Article VI, Section 33 of the Constitution of the State of Louisiana of 1974, Sub-Part A, Part III, Chapter 4, Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority. The details of the Bonds, will be set forth in an Official Notice of Bond Sale which will be prepared and published as directed by the Secretary of this Parish School Board upon his consultation with the Parish School Board’s Bond Attorney. Said Notice shall also set forth the bidding details, good faith deposit and the date, time and place of sale.
SECTION 2) The Bonds, if sold at public sale, shall be sold in the manner required by law and in accordance with the terms of the Official Notice of Bond Sale herein authorized. If advertising the Bonds for sale, the Governing Authority shall reserve the right to reject any and all bids received. Should this Parish School Board proceed with a public sale, an official statement shall also be prepared which shall be distributed to potential purchasers as decided by Bond Counsel.

RESOLUTION
A resolution ordering and calling a special election to be held in South Sabine Consolidated School District No. 20 of Sabine Parish, Louisiana, to authorize the incurring of debt and issuance of bonds therein; making application to the State Bond Commission in connection therewith; and providing for other matters in connection therewith.
BE IT RESOLVED by the Parish School Board of the Parish of Sabine, State of Louisiana (the "Governing Authority"), acting as the governing authority of South Sabine Consolidated School District No. 20 of Sabine Parish, Louisiana (the "District"), that:
SECTION 1. Election Call. Subject to the approval of the State Bond Commission, and under the authority conferred by Article VI, Section 33 of the Constitution of the State of Louisiana of 1974, Sub-Part A, Part III, Chapter 4, Title 39 of the Louisiana Revised Statutes of 1950, as amended, the applicable provisions of Chapter 5 and Chapter 6-A of the Louisiana Election Code, and other constitutional and statutory authority, a special election is hereby called and ordered to be held in the District on TUESDAY, NOVEMBER 2, 2010, between the hours of six o'clock (6:00) a.m., and eight o'clock (8:00) p.m., in accordance with the provisions of La. R.S. 18:541, and at the said election there shall be submitted to all registered voters qualified and entitled to vote at the said election under the Constitution and laws of this State and the Constitution of the United States, the following proposition, to-wit:

BOND PROPOSITION
Summary: Authority to issue not exceeding $2,300,000 of not exceeding 15 year General Obligation Bonds of South Sabine Consolidated School District No. 20 for acquiring and/or improving lands for building sites and playgrounds, including construction of necessary sidewalks and streets adjacent thereto; purchasing, erecting and/or improving school buildings and other school related facilities within and for the District and acquiring the necessary equipment and furnishings therefor, title to which shall be in the public, said bonds to be payable from ad valorem taxes.
Shall South Sabine Consolidated School District No. 20 of Sabine Parish, Louisiana (the "District"), incur debt and issue bonds to an amount not exceeding Two Million Three Hundred Thousand Dollars ($2,300,000), to run not exceeding fifteen (15) years from date thereof, with interest at a rate not exceeding seven per centum (7%) per annum, for the purpose of acquiring and/or improving lands for building sites and playgrounds, including construction of necessary sidewalks and streets adjacent thereto; purchasing, erecting and/or improving school buildings and other school related facilities within and for the District and acquiring the necessary equipment and furnishings therefor, title to which shall be in the public; which bonds will be general obligations of the District and will be payable from ad valorem taxes to be levied and collected in the manner provided by Article VI, Section 33 of the Constitution of the State of Louisiana of 1974 and statutory authority supplemental thereto?
SECTION 2. Publication of Notice of Election. A Notice of Special Election shall be published in the Sabine Index, a newspaper of general circulation within the District, published in Many, Louisiana, and being the official journal of the District, once a week for four consecutive weeks, with the first publication to be made not less than forty-five (45) days nor more than ninety (90) days prior to the date of the election, which Notice shall be substantially in the form attached hereto as "Exhibit A" and incorporated herein by reference the same as if it were set forth herein in full.
SECTION 3. Canvass. This Governing Authority shall meet at its regular meeting place, the Parish School Board Office, Many, Louisiana, on MONDAY, NOVEMBER 15, 2010, at SIX-THIRTY O'CLOCK (6:30) P.M., and shall then and there in open and public session proceed to examine and canvass the returns and declare the result of the said special election.
SECTION 4. Polling Places. The polling places set forth in the aforesaid Notice of Special Election are hereby designated as the polling places at which to hold the said election, and the Commissioners-in-Charge and Commissioners, respectively, will be the same persons as those designated in accordance with law.
SECTION 5. Election Commissioners; Voting Machines. The officers designated to serve as Commissioners-in-Charge and Commissioners pursuant to Section 4 hereof, or such substitutes therefor as may be selected and designated in accordance with La. R.S. 18:1287, shall hold the said special election as herein provided, and shall make due returns of said election for the meeting of the Governing Authority to be held on Monday, November 15, 2010, as provided in Section 3 hereof. All registered voters in the District will be entitled to vote at the special election, and voting machines shall be used.
SECTION 6. Authorization of Officers. The Secretary of the Governing Authority is hereby empowered, authorized and directed to arrange for and to furnish to said election officers in ample time for the holding of said election, the necessary equipment, forms and other paraphernalia essential to the proper holding of said election and the President and/or Secretary of the Governing Authority are further authorized, empowered and directed to take any and all further action required by State and/or Federal law to arrange for the election, including but not limited to, appropriate submission to the Federal Department of Justice under Section 5 of the Federal Voting Rights Act of 1965, as amended.
SECTION 7. Furnishing Election Call to Election Officials. Certified copies of this resolution shall be forwarded to the Secretary of State, the Clerk of Court and Ex-Officio Parish Custodian of Voting Machines of Sabine Parish and the Registrar of Voters of Sabine Parish, as notification of the special election, in order that each may prepare for said election and perform their respective functions as required by law.
SECTION 8. Application to State Bond Commission. Application is made to the State Bond Commission for consent and authority to hold the special election as herein provided, and in the event said election carries for further consent and authority to issue, sell and deliver the bonds provided for therein. A certified copy of this resolution shall be forwarded to the State Bond Commission on behalf of this Governing Authority, together with a letter requesting the prompt consideration and approval of this application. By virtue of applicant/issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the “State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby.
SECTION 9. Employment of Bond Counsel. A real necessity is hereby found for the employment of special counsel in connection with the issuance of the aforesaid bonds, and accordingly Foley & Judell, L.L.P., Bond Counsel, are hereby employed and requested to do and perform comprehensive legal and coordinate professional work with respect to the issuance of the aforesaid bonds of the District for the purposes stated hereinabove. Said Bond Counsel shall prepare and submit to this Governing Authority for adoption all of the proceedings incidental to the authorization, issuance, sale and delivery of the bonds, shall counsel and advise this Governing Authority as to the issuance and sale of the bonds, and shall furnish their opinion covering the legality of the issuance thereof. The fee of special bond counsel in connection with the issuance of each series of the aforesaid bonds of the District is hereby fixed at a sum not to exceed the maximum fee allowed by the Attorney General's fee guidelines for comprehensive legal and coordinate professional services in the issuance of general obligation bonds, based on the amount of said bonds actually issued, sold, delivered and paid for, plus "out-of-pocket" expenses. Bond Counsel fees may be paid from the proceeds of said bonds and shall be contingent upon the issuance, sale and delivery of said bonds. Pursuant to instructions from the President of the Governing Authority, Foley & Judell, L.L.P. shall also assist in the preparation of an official statement containing detailed and comprehensive financial and statistical data required with respect to the sale of the aforesaid bonds; and the costs of the preparation and printing of such official statement may be paid from the proceeds of the issue for which it has been prepared. Said official statement shall be submitted to such nationally recognized bond rating service or services as may be recommended by Bond Counsel, together with a request that an appropriate rating be assigned. Payment for all ratings shall be made by the Secretary, upon presentation of appropriate statements from the particular rating services furnishing the ratings. A certified copy of this resolution shall be submitted to the Attorney General of the State of Louisiana for his written approval of said employment and of the fee herein designated, and the Secretary is hereby empowered and directed to make payment to said Bond Counsel in payment of the fees herein provided for under the conditions herein enumerated.
SECTION 10. Declaration of Official Intent. Prior to the delivery of the Bonds, the Governing Authority anticipates that it may pay a portion of the costs of the projects from the General Fund. The projects include those purposes set forth in the propositions herein. Upon the issuance of the Bonds, the Issuer reasonably expects to reimburse any such expenditures of other available funds from a portion of the proceeds of the Bonds. Any such allocation of proceeds of the Bonds for reimbursement will be with respect to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made upon the delivery of the Bonds and not later than one year after the later of (i) the date such expenditure was paid or (ii) the date on which the project was placed in service. This Section is intended to be a declaration of official intent within the meaning of Reg. 1.150-2.

The polling places set forth above are hereby designated as the polling places at which to hold the said election, and the Commissioners-in-Charge and Commissioners, respectively, shall be those persons designated according to law.
The said special election will be held in accordance with the applicable provisions of Chapter 5 and Chapter 6-A of Title 18 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority, and the officers appointed to hold the said election, as provided in this Notice of Special Election, or such substitutes therefor as may be selected and designated in accordance with La. R.S. 18:1287, will make due returns thereof to said Governing Authority, and NOTICE IS HEREBY FURTHER GIVEN that the Governing Authority will meet at its regular meeting place, the Parish School Board Office, Many, Louisiana, on MONDAY, NOVEMBER 15, 2010, at SIX-THIRTY O'CLOCK (6:30) P.M., and shall then and there in open and public session proceed to examine and canvass the returns and declare the result of the said special election. All registered voters of the District are entitled to vote at said special election and voting machines will be used.

On motion by Donnie Sistrunk, Sr. and seconded by Harold Stewart it was carried to authorize the Louisiana State Mineral and Energy Board and the Office of Mineral Rights to accept nominations and advertise for oil and gas mineral leases, accept minimum bids of $6,000 per acre and 25% royalty, and award oil and gas mineral leases on said tract mentioned herein, on that certain tract of 5.96 acres, more or less, owned by the Sabine Parish School Board, and located in Section 36, T8N-R14W, Sabine Parish , Louisiana, on behalf of the Sabine Parish School Board, in the manner prescribed by law.
On motion by Roderick Davis and seconded by Denyse Williams, it was carried to enter into executive session to discuss pending litigation entitled
1) “Charles W. Mason, Jr. v. Dorman Jackson and the Sabine Parish School Board” and which bears Suite No. 62439 on the Docket of the 11th Judicial District Court, and
2) “Victor Sepulvado v. Sabine Parish School Board” and which bears Suite No. 62807 on the Docket of the 11th Judicial District Court.
On motion by Donnie Sistrunk, Sr. and seconded by James W. House, it was carried to reconvene.
On motion by Harold Stewart and seconded by J. Randall Veuleman, it was carried to authorize the Superintendent to make a settlement with Charles W. Mason, Jr.
There was a discussion and consideration of Letter of Demand from Keith Menard concerning a salary dispute. No action was taken.
There being no further business, the meeting adjourned.
